Terms and Conditions
By clicking “I Agree,” you (“Artist” or “Exhibitor”) acknowledge and agree to these comprehensive Terms and Conditions (“Agreement”) established by AOD Solutions LLC (“Agency”), governing your representation, promotion, exhibition, and sale of your original works (“Artwork”) through the Agency’s online gallery and participation in physical events including pop-ups, exhibitions, and art fairs such as the Affordable Art Fair NY.
Definitions and Scope
“Artist” or “Exhibitor” refers to the creator submitting original artwork for representation and participation. “Agency” refers to AOD Solutions LLC, responsible for facilitating and promoting the exhibition and sale of Artwork. “Artwork” includes all original artistic creations submitted for representation and sale. This Agreement governs Artwork displayed through the Agency’s online platform and participation in physical events facilitated or organized by the Agency.Representation and Facilitation
You grant the Agency non-exclusive rights to represent, exhibit, promote, and sell your Artwork online and at physical events. You retain full ownership and copyright of your Artwork. The Agency agrees to clearly communicate all processes, opportunities, and sales arrangements.Artwork Submission
You agree to provide high-resolution images, accurate descriptions, pricing, and availability information for each Artwork submitted. For physical events, Artwork must be delivered timely, prepared according to Agency guidelines, and ready for exhibition.Application Process & Refund Policy (Physical Events)
Applications for physical events like Affordable Art Fair NY are subject to curatorial review by the Agency’s Advisory Board and, if applicable, the Fair’s jury. The Agency reserves the right to accept or reject applications at its sole discretion. A deposit of $2,000 USD is required upon submission for physical events, covering preliminary review costs. If not accepted, deposits are refunded within 14 days. Accepted Exhibitors’ deposits become non-refundable and are applied toward total fees. Refunds after acceptance are discretionary, contingent upon securing replacement exhibitors, and subject to administrative fees.Booth Participation & Included Services
Participation in physical events such as Affordable Art Fair NY includes professionally constructed booth space, gallery-quality lighting, furniture, dedicated booth attendant, and promotional support. Booth layout and artwork placement are under Agency’s curatorial direction for visual cohesion and subject to final approval by event organizers.Lighting, Power & Custom Requests
Lighting and electricity services at physical events are managed exclusively through event organizers. Additional lighting and electrical setups incur separate fees, detailed in event-specific communications. Unauthorized equipment or modifications to provided booth infrastructure may result in additional fees.Wall Use and Damages
Nails and screws of limited size are permitted in event-provided walls. Excessive damage or unauthorized modifications (e.g., painting, wallpapering) will incur repair or repainting fees charged to the Exhibitor.Insurance and Liability
While the Agency maintains general liability coverage for physical events, you are responsible for insuring your Artwork against loss, theft, or damage at all times, including transit, exhibition, and storage. You agree to indemnify and hold harmless the Agency from all related claims or liabilities.Sales, Commission, and Fees
All sales conducted through Agency channels or resulting from participation in physical events will be processed by the Agency unless otherwise agreed. Proceeds are evenly split, with 50% to you and 50% retained by the Agency. A facilitation fee of 3.5% may apply for certain administrative services. Payments from physical event sales are issued within 14 days after confirmed transaction completion.Payment Terms
Payments from online gallery sales are remitted within 30 days after funds clear, less commission and applicable fees. All payments are issued in U.S. currency unless otherwise agreed.Intellectual Property and Promotional Rights
You affirm full ownership of submitted Artwork and agree to indemnify the Agency against intellectual property infringement claims. You grant the Agency non-exclusive, royalty-free rights to use provided images and promotional materials. You retain all intellectual property rights and ownership.Limitation of Liability and Indemnification
The Agency shall not be liable for loss, theft, or damage to your Artwork or personal property. You agree to indemnify the Agency against claims, liabilities, or damages related to your participation and representation.Duration, Termination, and Cancellation
This Agreement is effective upon clicking “I Agree” and remains in force until terminated by either party with at least 30 days’ written notice. Termination does not affect ongoing sales initiated prior to termination. The Agency is not responsible for losses due to cancellation or postponement of external events beyond its control.Force Majeure
If an event is canceled or rescheduled due to circumstances beyond the Agency’s control (e.g., weather, governmental restrictions), collected fees will be retained to cover non-refundable costs.Relationship and General Provisions
This Agreement establishes an independent contractor relationship. No employment or partnership is implied. This Agreement represents the complete understanding between you and the Agency, superseding all previous agreements. Amendments require mutual written consent. Governed by New York State law, any disputes will be resolved exclusively in courts located in New York County.
