By clicking “I Agree,” you (“Artist”) acknowledge and agree to these Terms and Conditions (“Agreement”) established by AOD Solutions LLC (“Agency”), governing the representation, promotion, exhibition, and sale of your original works (“Artwork”) through the Agency’s online gallery and participation in physical events such as pop-ups, exhibitions, and art fairs.

1. Definitions and Scope: The term “Artist” refers to you, the creator submitting original artwork for representation. “Agency” refers to AOD Solutions LLC, responsible for facilitating the promotion, exhibition, and sale of your Artwork. “Artwork” includes all original artistic creations you submit for representation and sale. This Agreement applies to your Artwork displayed through the Agency’s online platform and at physical events facilitated or organized by the Agency.
   
   
2. Representation and Facilitation: You grant the Agency non-exclusive rights to represent, exhibit, promote, and sell your Artwork both online and at physical events. You retain full ownership and copyright of your Artwork. The Agency agrees to clearly communicate all processes, potential opportunities, and sales arrangements to you.
   
   
3. Artwork Submission: You agree to provide high-resolution images, accurate descriptions, pricing, and availability information for each Artwork submitted. For physical events, you agree to deliver Artwork prepared and ready for exhibition in compliance with the Agency’s guidelines and within specified deadlines.
   
   
4. Sales, Commission, and Fees: The Agency manages the sale of Artwork through its online and physical platforms. Sales proceeds will be evenly split, with 50% allocated to you and 50% retained by the Agency. Additionally, the Agency may charge a facilitation fee of 3.5% for processing and associated services to the client. All fees and commission structures are transparently communicated and are non-refundable unless explicitly stated in writing otherwise.
   
   
5. Payment Terms: Upon successful sale and confirmed delivery of Artwork to the buyer, the Agency will remit payment to you within 30 days after the funds have cleared, less the Agency’s commission and any applicable fees. Payments will be made in U.S. currency unless otherwise agreed.
   
   
6. Artist Responsibilities and Insurance: You guarantee the authenticity, ownership, and accuracy of representation for all submitted Artwork. You are solely responsible for maintaining appropriate insurance coverage for your Artwork at all times, including during transport, handling, exhibition, and storage. While the Agency carries general liability insurance for physical events, the Agency is not liable for loss, theft, or damage to your Artwork.
   
   
7. Intellectual Property and Promotional Rights: You affirm ownership of and legal rights to all submitted Artwork, agreeing to indemnify the Agency against intellectual property infringement claims. You grant the Agency non-exclusive, royalty-free rights to use images and promotional materials you provide for marketing purposes. You retain all intellectual property rights and ownership of your Artwork.
   
   
8. Limitation of Liability and Indemnification: The Agency shall not be liable for loss, theft, or damage to your Artwork or personal property during online representation or physical events. You agree to indemnify and hold harmless the Agency and its officers, employees, and agents from any claims, liabilities, or damages arising from your participation and representation by the Agency.
   
   
9. Duration, Termination, and Cancellation: This Agreement is effective from the moment you click “I Agree” and remains in effect until terminated by either party with a minimum of 30 days’ written notice. Termination will not affect transactions or sales initiated prior to the termination date. The Agency is not responsible for losses due to the cancellation or postponement of external events beyond its control.
   
   
10. Relationship and General Provisions: You enter this Agreement as an independent contractor; this Agreement does not establish any employment or partnership relationship. This Agreement constitutes the full understanding between you and the Agency, superseding all previous agreements. Amendments must be in writing and mutually agreed upon. This Agreement is governed by the laws of the State of New York.
